Corporate governance

AcadeMedia AB (publ) is a Swedish public limited liability company operating under Swedish law. The Company’s corporate governance is based on the articles of association and internal rules and instructions. Once the Company has been listed on Nasdaq Stockholm, it will also comply with Nasdaq Stockholm’s Rule Book for Issuers and apply the Swedish Corporate Governance Code (the “Code”). The Code will be applied in its entirety in connection with the first annual shareholders’ meeting following the listing.

The Company will comply with the Code and any deviations will be reported in the Company’s Corporate Governance Report, which was published in connection with the 2019/2020 Annual Report.

Articles of association

Our Articles of Association are the overarching framework that defines what we do and how we are governed. They stipulate, for example, the number of shares, the number of directors and the registered office of the Company, which is where our AGMs are held.

Board of Directors

The Board of Directors is AcadeMedia's highest decision-making body after the Annual General Meeting. It has overall responsibility for the organisation, administration and management of AcadeMedia's business in accordance with the interests of the Company and its shareholders.

Executive management

Group Management consists of the President and CEO, four segment managers, the CFO, the Business Development Director, the HR Director and the Head of Communication and Public Affairs.

Internal control

The Board of Directors is responsible for establishing an effective system of internal controls and for ensuring that AcadeMedia complies with the requirements of good internal governance and controls over financial reporting. Read more about it here.
